How to Sell

The TTSC Racehorse Syndication Service provides a low-cost service to assist with the compliance requirements as set out in the Australian Rules of Racing, ASIC Corporations (Horse Schemes) Instrument 2016/790 and its updated Regulatory Guide 91 (August 2016).

The TTSC Racehorse Syndication Service complies with all Principal Racing Authorities requirements in their role as ASIC's nominated Lead Regulator.  The TTSC acts on behalf of its clients when and where required as Promoter while overseeing its Authorised Representatives ensuring owners receive unencumbered title, pro-rata to share holding. In addition, any shareholder that buys into a scheme receives full consumer protection in any interest they acquire within an offer, the TTSC ensures no interests are registered within the personal property security register (PPSR).

The Australian Rules of Racing in conjunction with ASIC Corporations (Horse Schemes) Instrument 2016/790 permitting 50 or less investors to buy into any approved offer where the scheme value does not exceed $500,000.00 (inc. GST).

AFS Licence Details

  • The TTSC holds an Australian Financial Services Licence (No. 288 213) to deal in a financial product by:
    • issuing, applying for, acquiring, varying or disposing of a financial product in the respect of the following classes of financial products:
      • interests in managed investment schemes limited to:
        • horse racing schemes only;
          • to retail clients.
  • The TTSC is not authorised to provide personal advice (being advice that takes into account a person's objectives, financial situation and needs) in relation to a Horse Racing Scheme.
  • The TTSC does not charge for general advice relating to the acquisition of an interest in a Horse Racing Scheme.
  • The TTSC's charges are published in each relevant Lead Regulator approved Product Disclosure Statement.

Preparation, Approval of a Product Disclosure Statement (PDS) for a Horse Racing Syndicate Scheme

  • The TTSC Racehorse Syndication Service prepares each Product Disclosure Statement (PDS) for each client so its ready for review and approval by the appropriate ASIC nominated Lead Regulator.
  • As the AFSL holder the TTSC assists with preparation, creation, review of all advertising (regardless of format) that relate to the horse racing scheme.

Maintenance of records for Horse Racing Schemes

  • Maintain a separate bank account for each offer for depositing monies relating to each horse racing scheme's operation.
  • Collection of identification (know your client).
  • Once fully subscribed, notify and register the scheme as required by Lead Regulators.
  • If the scheme is not fully subscribed monies are repaid to consumers that were deposited*.

Cost

  • From $3,053.82 (inc. GST) for Authorised Representatives the costs increases for a Non-Authorised offer that fee is $4,729.73 (inc. GST) this fee is applicable to clients who are commencing as a professional business and are not yet holder of an Authorised Representative number issued by ASIC nor approved by the TTSC.  These costs are correct as of July 1st, 2023.

Privacy

Information retained by the TTSC Racehorse Syndication Service is for the purposes of managing compliance requirements for its day-to-day business affairs under its Privacy Policy, the Australian Rules of Racing, ASIC's AFSL,  Federal and State Governments, and AUSTRAC requirements.  Information that's collected will not be shared with other parties without your express consent, or when required by law.

TTSC will:

- Ensure advertisement is submitted to lead Regulator for approval.
- Actively assist to promote shares for sale.
- Ensure information is current, thus, making the most of the latest race result!
- Display your thoroughbred on www.ttsc.oom.au & in other forums.
- Client satisfaction
TTSC produces Product Disclosure Statement & Partnership Agreement in accordance with ASIC/Corporate Law/Rules of Racing & submits to Lead Regulator for approval.

Note: At this stage the TTSC will issue an invoice. Payment required prior to PDS going on sale.
TTSC attends to enquiries from interested parties if the promoter is not an authorised representative of the TTSC. We distribute the PDS as required.

Client must direct all enquires to TTSC
TTSC independently manages share purchases deposited into trust account.
IF FULLY SUBSCRIBED

TTSC finalises syndication documents & disburses funds to Client.

TTSC service now complete.

TTSC engages Independent Auditor to co mp lete an nu al audil of TTSC compliance service.
IF NOT FULLY SUBSCRIBED

TTSC refunds monies deposited for purchase of shares.

OR

Client applies to have PDS extended for a further 6 months.

OR

Client pays balance into trust account. TTSC finalises documents & disburses funds to Client.

OR

TTSC issues Supplementary PDS notifying of Client's intention to retain unsold shares. TTSC finalises documents & disburses funds to Client.

TTSC service now complete.
N.B. Client: Seller of shares in a racehorse can typically be a professional racehorse trainer or a breeder of thoroughbreds.
